These Terms of Service ("Terms") govern your access to and use of the Simplaix website, products, and services (the "Services"). By accessing or using the Services, you agree to be bound by these Terms. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization.

You may use the Services only if you can form a binding contract with Simplaix and are not barred from doing so under applicable law. You must be at least 13 years old (or the age of majority in your jurisdiction) to use the Services.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate information and to update it as needed.

  • Do not upload or transmit malicious code, spam, or infringing content.

The Services and all related content are owned by Simplaix or its licensors and are protected by intellectual property laws. Except as expressly permitted, you may not copy, modify, distribute, sell, or lease any part of the Services.

Feedback

If you submit feedback, ideas, or suggestions, you grant Simplaix a non‑exclusive, perpetual, irrevocable, royalty‑free, worldwide license to use and exploit such feedback without restriction.

Third‑Party Services

The Services may integrate with or link to third‑party services. We are not responsible for third‑party services, and your use of them is subject to their terms and policies.

Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR‑FREE.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SIMPLAIX AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF OR INABILITY TO USE THE SERVICES. OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES SHALL NOT EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS ($100) OR THE AMOUNT YOU PAID US, IF ANY, IN THE PAST SIX MONTHS FOR THE SERVICES GIVING RISE TO THE CLAIM.

Indemnification

You agree to defend, indemnify, and hold harmless Simplaix and its affiliates from and against any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with your use of the Services or your violation of these Terms.

Termination

We may suspend or terminate your access to the Services at any time, with or without notice, for any reason. Upon termination, your right to use the Services will cease immediately.

Governing Law

These Terms are governed by the laws of the State of California, without regard to its conflict of law principles. You agree to the exclusive jurisdiction of the courts located in San Francisco County, California, for any disputes arising out of or relating to these Terms or the Services.

Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide notice by posting the updated Terms on this page with an updated "Last updated" date. Your continued use of the Services after the changes become effective constitutes your acceptance of the revised Terms.
